Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) govern the sale of products by Nantong Xunri Technology Co., Ltd. (“XunriTech”, “Seller”, “we”, or “us”) to the purchasing business entity (“Buyer” or “you”).

Our product scope includes, but is not limited to:

  1. Power Tools (电动工具)

  2. New Energy Equipment (新能源设备, e.g., inverters, energy storage systems, solar panels)

  3. New Energy Accessories (新能源配件)

  4. Photovoltaic (PV) Accessories (光伏配件, e.g., mounting structures, brackets, cables)

By placing a Purchase Order (PO) or paying the deposit against our Proforma Invoice (PI), the Buyer agrees to be bound by these Terms.

1. Orders, Customization, and Compliance

1.1 Order Placement & Acceptance: All orders must be placed via a written PO or confirmed through a PI issued by XunriTech. An order is legally binding once the PI is signed/stamped by the Buyer and the deposit is received.
1.2 Local Grid & Regulatory Compliance (Crucial for New Energy Equipment): The Buyer is strictly responsible for verifying that the quoted New Energy Equipment (e.g., inverters, batteries) complies with their local grid regulations, safety standards, and import certifications (e.g., CE, UL, VDE). XunriTech shall not be held liable, nor accept returns, if the equipment cannot be installed or connected to the grid due to local regulatory mismatches not explicitly stated in the confirmed PI.
1.3 Custom/OEM Orders: For OEM/ODM orders across all categories, once production begins at our partner factories based on the Buyer’s approved specifications, orders cannot be canceled or modified.

2. Pricing and Payment Terms

2.1 Pricing & Validity: Unless otherwise stated, prices are quoted in [USD] and are valid for [30] days. We reserve the right to adjust prices before PO confirmation due to significant fluctuations in raw materials (especially copper, aluminum, and silicon) or exchange rates.
2.2 Taxes & Duties: Prices exclude destination customs duties, VAT, and local handling fees. The Buyer is responsible for all destination-side costs and customs clearance.
2.3 Standard Payment Term: Unless otherwise negotiated: [50%] T/T deposit upon PI confirmation, and the [50%] T/T balance before shipment or against the copy of the B/L.
2.4 Bank Fees: The Buyer is responsible for all international bank transaction fees to ensure the exact PI amount is received.

3. Delivery and Shipment (Incoterms)

3.1 Trade Terms: All shipments are governed by the agreed Incoterms® 2020 (e.g., FOB Shanghai, EXW, CIF).
3.2 Dangerous Goods (DG) Handling: For New Energy Equipment containing lithium batteries, specific DG shipping regulations (e.g., UN38.3, MSDS) apply. The Buyer must cooperate with forwarding agents for smooth clearance.
3.3 Lead Time: Delivery dates are estimates. Standard lead time is [ 25 ] days after deposit. XunriTech is not liable for indirect losses caused by factory scheduling, port congestion, or customs delays.

4. Risk of Loss and Title

4.1 Risk Transfer: Risk of loss or damage passes to the Buyer according to the agreed Incoterms.
4.2 Title (Ownership): Legal title of the goods remains with XunriTech until the Seller receives 100% full payment.

5. Inspection and Claims

5.1 Buyer’s Duty: The Buyer must inspect the goods immediately upon arrival at the destination.
5.2 Reporting: Claims regarding shortages or incorrect items must be reported with evidence within [30] days of receipt. Shipping damage claims must be directed to the freight forwarder or insurance provider.
5.3 Resolutions: Refer to our Return & Refund Policy for standard B2B resolutions (e.g., spare parts dispatch, next-order replacement, or credit note).

6. Warranties by Product Category

As a professional trading company, XunriTech passes the standard manufacturer warranties from our audited partner factories to the Buyer. Warranties cover manufacturing defects only and strictly exclude improper installation, unauthorized modification, or force majeure (e.g., lightning strikes on PV systems).

Standard warranty periods (subject to specific PI/Contract terms):

  • Power Tools: [12 Months]

  • New Energy Equipment (e.g., Inverters/Batteries): [5 Years], subject to the specific brand/factory policy.

  • New Energy & PV Accessories (Mounting/Hardware): [10 Years] against structural failure, depending on the material (e.g., Aluminum Alloy, SUS304).

Maximum Liability: XunriTech’s maximum liability shall strictly not exceed the total purchase price of the defective goods. We are not liable for any indirect damages, including loss of profit, loss of power generation, or project delays.

7. Force Majeure

XunriTech shall not be liable for delays or failures caused by events beyond our control, including natural disasters, strikes, factory material shortages, government export/import restrictions, or international shipping disruptions.

8. Governing Law and Dispute Resolution

8.1 Governing Law: Governed by the laws of the People’s Republic of China.
8.2 Dispute Resolution: Any unresolved disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in [填空：如 Shanghai] for binding arbitration.
